These Terms and Conditions ("Terms") govern the use of the Traffic Experts UK Ltd website and the engagement of our professional digital marketing services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.

1. Service Agreement and Engagement

When you engage Traffic Experts UK Ltd for digital marketing services, a formal service agreement will be established that details the specific services to be provided, the scope of work, timeline, fees, payment terms, and advertising spend allocation. The specific terms of your individual engagement will be outlined in that formal agreement. In the event of any conflict between this general Terms and Conditions document and a specific service agreement, the terms of the service agreement shall prevail.

Engagement of our services constitutes acceptance of these Terms and Conditions. We reserve the right to refuse service to any individual or organisation where we determine in our sole discretion that engagement is inappropriate or conflicts with our professional standards or policies.

2. Scope of Services

Traffic Experts UK Ltd provides professional digital marketing services including paid search advertising management, social media advertising campaign management, web traffic acquisition, analytics and reporting, landing page optimisation consultation, customer acquisition strategy, display advertising, and conversion rate optimisation consultation, as described on our Services page and in your specific service agreement.

Our services do not include: web design or development (except landing page optimisation consultation), SEO services, organic social media management, content creation services, or email marketing. Additionally, we do not guarantee specific traffic volumes, conversion rates, or return on advertising spend, as campaign results are influenced by numerous factors beyond our direct control.

3. Client Responsibilities and Obligations

To effectively deliver our services, you agree to:

Provide Access: Grant us appropriate access to your advertising accounts (Google Ads, social media platforms, etc.), website analytics, and other systems necessary to manage campaigns, monitor performance, and track results.

Provide Information: Provide accurate, complete information about your business, target audience, products or services, business objectives, and current marketing performance necessary for effective campaign strategy and management.

Approve Campaigns: Review and approve campaign strategy, messaging, targeting, and creative elements prior to launch, as specified in your service agreement.

Maintain Security: Maintain appropriate security over access credentials and notify us immediately of any suspected unauthorised access or security breaches.

Comply with Laws: Ensure that your website, products, services, and business practices comply with all applicable laws and regulations. We will not provide services for illegal, unethical, or fraudulent purposes.

4. Campaign Management and Performance

No Guarantee of Results: Traffic Experts UK Ltd does not guarantee specific traffic volumes, customer acquisition numbers, conversion rates, or return on advertising spend. Campaign results are influenced by numerous factors including competitive landscape, market demand, website quality, advertising platform algorithm changes, and customer behaviour patterns.

Campaign Optimisation: We will manage and optimise campaigns using industry best practices and our professional expertise. Campaign performance typically improves over time as we gather data and refine targeting, bidding, and messaging.

Transparency and Reporting: We will provide transparent reporting on campaign performance, costs, and results using agreed metrics and methodology. Monthly reports will detail key performance indicators, trend analysis, and strategic recommendations.

Budget Management: Advertising spend budgets are managed according to your agreement. Actual spend may vary based on campaign performance and market conditions, but we will manage budgets to stay within your approved limits.

5. Advertising Spend and Budget

Separate from Service Fees: Advertising spend is separate from our service management fees. You authorise us to spend up to your agreed monthly advertising budget on your campaigns across advertising platforms.

Budget Allocation: We may allocate your advertising budget across multiple campaigns and platforms based on performance and strategic recommendations. You may request changes to budget allocation upon notice.

Billing: Advertising spend is charged by the respective advertising platforms (Google, Facebook, etc.) directly or through us as an agency partner. Service management fees are billed separately as specified in your service agreement.

6. Fees and Payment

Service Fees: Service management fees will be clearly stated in your formal service agreement and are typically charged on a monthly retainer basis.

Invoicing: Invoices for service fees will be issued monthly according to the schedule in your service agreement. Advertising platform charges are billed according to each platform's billing terms.

Payment Terms: Payment is due within 30 days of invoice issuance unless different terms are specified in your service agreement. Late payments may incur interest charges as permitted by UK law.

Additional Expenses: Certain expenses beyond standard campaign management (such as specialised tools or premium support) may be charged separately and will be agreed upon in advance.

7. Intellectual Property

Pre-Existing IP: Any tools, methodologies, frameworks, systems, templates, or intellectual property that existed prior to or independent of your engagement remain our exclusive property.

Client Content: Content, data, and materials provided by you remain your property. You grant us a license to use such materials for the purpose of delivering our services to you.

Work Product: Campaign reports, analyses, and strategic recommendations created specifically for your engagement may become your property upon payment of applicable fees, unless otherwise specified in your service agreement.

8. Confidentiality

Both parties agree to maintain confidentiality of sensitive business information shared during the engagement, including financial data, business strategies, and proprietary information, except where disclosure is required by law or necessary to deliver services.

9. Limitations of Liability

Disclaimer of Warranties: Our services are provided on an "as-is" basis without warranties of specific results or uninterrupted service. We make no warranties regarding campaign performance or specific outcomes.

Limitation of Liability: Except where prohibited by law, our liability for any claim shall be limited to the total fees paid for services in the 12 months preceding the claim. We shall not be liable for indirect, consequential, or punitive damages.

Third-Party Services: We are not responsible for the performance of advertising platforms (Google, Facebook, etc.) or other third-party services we may use or recommend.

10. Termination

Termination by Client: You may terminate engagement by providing written notice as specified in your service agreement. Early termination may result in termination fees as detailed in your agreement.

Termination by Traffic Experts: We may terminate engagement upon 30 days' written notice if: (1) you breach material terms and fail to cure within 15 days; (2) you fail to provide necessary access or information; (3) you fail to pay fees; (4) engagement becomes unlawful or unethical.

Upon Termination: You remain responsible for payment of all fees through the termination date. We will provide reasonable assistance in campaign transition.

11. Website Terms of Use

Permitted Use: You may use our website to obtain information about our company and services for lawful purposes. You agree not to engage in unlawful activity, interference with website functionality, or unauthorised access attempts.

Website Availability: We do not guarantee uninterrupted website availability and are not liable for temporary service interruptions.

12. Compliance with Laws

Traffic Experts UK Ltd operates in compliance with all applicable UK laws and advertising regulations. All campaigns comply with advertising platform terms of service and applicable advertising standards.

13. Dispute Resolution and Governing Law

Governing Law: These Terms are governed by the laws of the United Kingdom.

Jurisdiction: You consent to the exclusive jurisdiction of the courts of the United Kingdom for any legal proceedings.

14. Modifications to Terms

Traffic Experts UK Ltd may modify these Terms at any time. Material modifications will be notified by prominent notice on our website or email. Continued engagement constitutes acceptance of modified Terms.
